Studio Imani Designs, Terms & Conditions Effective Date: January 1, 2023

1. Acknowledgement and Acceptance of Terms

Welcome to Studio Imani Designs (“we”, “us”, “our”). By visiting our website at www.studioimanidesigns.com (“the Website”) and/or purchasing services or products from Studio Imani Designs, you (“the Client”) agree to engage in our services and be bound by these Terms and Conditions (“Terms of Service,” “Terms of Use,” “Terms”), including additional terms and policies available by hyperlink. These Terms apply to all users of the Website, including browsers, vendors, customers, merchants, and contributors of content.

Your purchase covers the work we do that will be delivered based on our studio’s processes, approach, methods, and/or design style. You are paying for the work performed, not the result or your subjective satisfaction with the deliverable. Stating that you dislike the design style or the final deliverable is not grounds for non-payment.

If you do not agree to these Terms, please stop using the Website and refrain from purchasing any services or products.

2. Services and Limited License

Studio Imani Designs provides branding, marketing, and creative strategy services, including but not limited to:

• Consultations: Offering personalized consultations to assess branding and marketing needs.

• Intensives: Focused, deep-dive sessions on specific branding or marketing challenges.

• Design Sprints: Accelerated design and strategy processes tailored for branding and marketing.

• Courses and Digital Products: Educational resources for branding and marketing purposes.

Upon purchasing our services or products, you are granted a limited, non-exclusive, non-transferable, revocable license to access, view, and use the specific service or product purchased. This license includes downloading, storing, and printing single copies of digital resources for personal use only.

Ownership of Work Studio Imani Designs retains full ownership of all creative work, designs, and content produced during the services. You are purchasing a license to use the work created by Studio Imani Designs; this does not transfer ownership of the work to you. Unauthorized reproduction, modification, or resale of the work is strictly prohibited without express written permission from Studio Imani Designs.

3. Purchases, Payments, and Fees

By purchasing services or products through the Website, you agree that:

• Any payment information you provide is accurate, complete, and truthful.

• You authorize us to charge your payment method for all applicable fees, taxes, and surcharges related to your purchase.

• You are financially responsible for all charges, whether or not made by you or an authorized user on your account.

Payment Methods Payments are processed through third-party providers (e.g., PayPal, Stripe). If your payment method is declined, we reserve the right to withhold access to the purchased service until full payment is received.

Invoices and Payment Schedules If you choose to pay via invoice or installment plan, each payment will be due as outlined on the specific service’s sales page. Failure to make any installment payment within 7 days of the due date may result in termination of your access to the service, and the full outstanding amount will become due immediately.

Late Payments If any payment is not received on time, Studio Imani Designs reserves the right to stop work on any service and/or block your access to services until the outstanding balance is settled.

4. No Refunds or Exchanges

Due to the digital and personalized nature of our services and products, all sales are final. Studio Imani Designs does not offer refunds or exchanges on any services, digital products, or other offerings once a purchase has been completed. This includes instances of dissatisfaction or change of mind after services have been rendered or access has been granted to digital products.

Disputed Charges By using our services, you agree not to dispute any charges made to your account. If a charge dispute is initiated mistakenly, you agree to immediately cancel or withdraw the dispute. You are responsible for any legal fees incurred by Studio Imani Designs in recouping disputed charges.

5. Client Responsibilities and Behavior

As a client, you agree to:

• Provide timely, accurate information and feedback as required for Studio Imani Designs to perform the services.

• Be respectful and cooperative in all communications with Studio Imani Designs staff and other clients in group settings or forums.

• Use the services for lawful purposes only, refraining from infringing on the intellectual property or rights of others.

Studio Imani Designs reserves the right to terminate services without refund if a client fails to meet these responsibilities or engages in harmful or illegal behavior.

6. Communication Requirements and Rescheduling

Clients are expected to maintain timely communication and fulfill their commitments regarding sessions or service engagements.

Rescheduling Sessions If you need to reschedule a 1:1 session, you must notify Studio Imani Designs at least 24 hours before the scheduled session. Failure to provide adequate notice may result in forfeiture of the session. Clients are allowed to reschedule a session one (1) time within the service term.

Missed Appointments If you fail to attend a scheduled appointment without notice, the session will be forfeited. Studio Imani Designs will attempt to accommodate rescheduling where possible but cannot guarantee availability.

Cancellation If you wish to cancel a service, you must notify us as soon as possible. No refunds will be provided for cancellations, and any remaining payments due for the service will become immediately payable.

7. Confidentiality and Non-Disclosure

Both parties acknowledge that during the course of services, certain confidential information may be shared. "Confidential Information" refers to all information, whether written or oral, that is proprietary or sensitive to either party, including but not limited to business strategies, intellectual property, personal data, and any project-related content.

Each party agrees not to disclose or use the other party's Confidential Information for any purpose other than fulfilling the obligations under this agreement, unless required by law.

8. Media Release and Usage

By using our services, you grant Studio Imani Designs the irrevocable right to use any media, such as photos, videos, or testimonials, shared by you for marketing or promotional purposes. This includes the use of your likeness or content in advertising without compensation. We reserve the right to use such materials for future marketing efforts without requiring further consent.

9. Lawful Use and Disclaimers

You agree to use Studio Imani Designs’ services solely for lawful purposes. We reserve the right to revoke your access to services if you violate these terms or engage in unlawful activity.

Disclaimers Studio Imani Designs provides services for educational and informational purposes only. We do not guarantee any specific outcomes, financial results, or earnings from the use of our services. Individual results will vary based on personal effort and external factors.
